Amazon is exploring a deal that could transfer around $8 billion worth of Nvidia chips to outside investors as the technology giant looks for new ways to finance its rapidly expanding artificial intelligence infrastructure. The proposed transaction, reported by the Financial Times and cited by people familiar with the matter, would allow Amazon to shift thousands of advanced Nvidia chips into a special-purpose vehicle while continuing to use the hardware through a leasing arrangement. The move would represent a different approach to funding Amazon's massive investment in artificial intelligence and data-centre infrastructure. Instead of carrying the full cost of these expensive semiconductor assets on its balance sheet, Amazon could bring outside investors into the financing structure.
According to the report, Amazon has been speaking with potential investors in recent weeks to determine their interest in the proposed transaction. Under the structure being considered, thousands of Nvidia Grace Blackwell chips currently being installed across Amazon's US data centres would be transferred into a special-purpose vehicle, commonly known as an SPV. The vehicle would then raise money from outside investors, including through debt issuance. Amazon would lease the chips back from the vehicle, allowing the company to continue using the hardware for its cloud computing and artificial intelligence operations. This arrangement could allow Amazon to adopt a more asset-light approach while still maintaining access to the computing capacity required for its AI expansion.
The central reason behind the proposed transaction is financial flexibility. Building AI infrastructure requires enormous amounts of capital. Advanced processors, data centres, networking equipment, electricity infrastructure and cooling systems all require significant investment. By moving some of the expensive semiconductor assets into an investment vehicle, Amazon could potentially reduce the amount of capital tied up directly in those assets while continuing to use them. The structure could also allow Amazon to share part of the financing burden with investors rather than funding the entire cost itself. However, the proposed transaction does not mean Amazon would stop using the Nvidia chips. The company is reportedly considering leasing the hardware back after transferring it to the new vehicle.
The proposed transaction involves Nvidia Grace Blackwell chips, one of Nvidia's advanced computing platforms designed for demanding artificial intelligence workloads. These processors are being deployed as Amazon expands the computing capacity available for AI services and other high-performance applications. The chips involved in the proposed deal were either purchased or leased by Amazon and are being installed across more than a dozen data centres in the United States. The facilities are spread across five states, with Nevada and Virginia among the locations identified in the report.
A special-purpose vehicle is a separate entity created for a specific financial transaction or group of assets. In the proposed Amazon arrangement, the Nvidia chips would be placed inside such a vehicle. Investors could then provide financing to the vehicle, including through debt. Amazon would retain access to the hardware by leasing the chips back. This type of structure can allow a company to obtain capital from assets without necessarily selling its operating business or giving up access to the underlying equipment. Amazon is also reportedly considering offering investors an equity stake of up to 10 per cent in the vehicle.
The proposed Nvidia transaction comes as Amazon continues to expand its artificial intelligence and cloud infrastructure. AI applications require enormous computing power, and technology companies are competing to secure advanced processors and data-centre capacity. Amazon Web Services is investing heavily in infrastructure to support AI workloads, cloud services and customers developing their own artificial intelligence applications. The increasing cost of this infrastructure has encouraged major technology companies to explore different ways of funding data centres and computing equipment. For Amazon, an asset-light financing model could provide another route to support expansion while managing the amount of capital committed to physical technology assets.
The reported transaction is not yet a completed deal. Amazon has been discussing the proposal with potential investors to assess interest, meaning the final structure, size and terms could still change. The company has not publicly confirmed all the details reported about the potential transaction. Nvidia and Amazon had also not immediately responded to Reuters' requests for comment outside regular business hours. If completed, the transaction would demonstrate how technology companies are increasingly looking beyond traditional capital spending to finance the infrastructure required for the AI boom.
Amazon has been expanding its relationship with Nvidia as demand for high-performance AI computing continues to increase. Nvidia's advanced processors are widely used for training and running artificial intelligence systems. Their high cost and limited supply have made access to AI computing hardware an important consideration for major cloud providers. Amazon is also developing its own artificial intelligence chips, but Nvidia processors remain an important part of the broader AI infrastructure ecosystem. The proposed transaction therefore appears focused on how Amazon finances its AI hardware, rather than reducing its reliance on AI infrastructure.

Amazon's discussions with investors will determine whether the proposed structure moves forward. If the company proceeds, investors would provide financing to the special-purpose vehicle, while Amazon would continue accessing the Nvidia chips through leases. The arrangement could give Amazon greater flexibility in managing the cost of its rapidly expanding AI infrastructure. At the same time, the company would continue to carry obligations associated with leasing and operating the equipment.
