Nippon Steel and U.S. Steel announced on Wednesday that they have completed a historic deal that combines the two companies, which is valued at nearly $15 billion. This partnership comes after a long and complex negotiation process, which involved national security concerns and the involvement of the U.S. government.
The deal includes a special provision, known as the "golden share," that gives the U.S. government a say in certain important decisions regarding the company. The provision allows the federal government to appoint a board member and have influence over actions that could impact U.S. steel production and competition with overseas producers. This provision was added after the deal was delayed for more than a year due to concerns about national security.
Together, Nippon Steel and U.S. Steel will become the fourth-largest steelmaker in the world. Nippon Steel will bring its advanced technology to U.S. Steel’s older steelmaking processes, and the combined company will invest $11 billion to upgrade U.S. Steel facilities.
In return, Nippon Steel will gain access to the U.S. steel market, which has been strengthened by tariffs introduced under both former Presidents Donald Trump and Joe Biden. These tariffs have helped make the U.S. steel industry more competitive.
Some experts believe the U.S. government’s involvement in the deal reflects a broader shift in how national security is defined, where economic security is increasingly seen as a part of national security. This is especially important in the context of competition with China.
The deal also came with commitments to protect American jobs and steel production. For example, Nippon Steel has pledged not to lay off workers or close plants as a result of the transaction. It has also committed to buying steel from U.S. sources and allowing U.S. Steel to take legal actions in the U.S. under trade laws.
Despite some opposition, including from the United Steelworkers union, which represents U.S. Steel employees, the deal was finalized. The union expressed concerns about job security and worker benefits but also made it clear that they are prepared to fight for their rights if needed.
The deal marks a new chapter for both companies, with Nippon Steel aiming to increase its steel production and become an even bigger player in the global steel market. The U.S. government will continue to monitor the partnership to ensure it aligns with national security and economic interests.
